Agreement to these terms
These Terms of Service (“Terms”) are an agreement between Medfy (“Medfy”, “we”, “us”) and the medical practice or other organization that uses Medfy (“you”, “your practice”). They apply to medfy.ai, the Medfy portal at portal.medfy.ai, the free marketing audit and the services we provide (together, the “Services”).
By creating an account, starting a subscription or using the Services, you agree to these Terms. If you accept them on behalf of a practice, you confirm that you’re authorized to bind it. Our Privacy Policy explains how we handle personal information.
The Services
Medfy provides AI marketing for medical practices. Depending on your plan, the Services include:
- a website for your practice, hosted by Medfy on your own domain, with HIPAA-compliant forms;
- automated SEO — articles, local pages and technical fixes — and weekly AI-visibility tracking;
- the portal: dashboards, website analytics, Google reporting, a patient CRM and inbox, and AI website edits;
- optional add-ons: Google Ads management, Meta ads with AI creatives, and a HIPAA AI chat widget;
- the free marketing audit and a free preview of your new website.
We improve the Services continuously, so features may change over time.
Who can use Medfy
Medfy is for healthcare practices in the United States and Canada, and for the staff and contractors they authorize. You must be old enough to enter a binding contract, and you must use the Services for your practice — not as a patient or consumer. We may decline or close accounts that don’t fit these terms.
Your account and its security
- Give us accurate account and practice information, and keep it up to date.
- You sign in with one-time codes sent by email or with Google sign-in, so the security of your account depends on your email and Google accounts. Keep them secure.
- You’re responsible for activity under your account and for the people you invite, including the roles and access you give them. Remove access when someone leaves your practice.
- Tell us at hello@medfy.ai straight away if you suspect unauthorized access.
The free audit and website preview
The free marketing audit and the free website preview cost nothing and create no obligation to subscribe. They’re provided as-is: the audit measures public information and third-party services at a point in time, so its scores are estimates and may contain errors. We may change, limit or stop offering free services at any time, including by applying usage limits.
Subscriptions and billing
- Plans. Every subscription starts with the base plan at $289 per month. You can add: Google Ads management ($199/month), Meta ads + AI creatives ($199/month) and HIPAA AI chat widget ($49/month). Prices are in US dollars, and current prices are on our pricing page.
- Billing. Subscriptions are billed monthly, in advance, through our payment processor, Stripe, and renew automatically each month until you cancel. You authorize us to charge your payment method for each period.
- Add-ons. You can add or remove add-ons at any time. Changes during a billing period are prorated.
- Cancellation. You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; you keep access until then and won’t be charged again.
- Refunds. Fees aren’t refundable, including for partial periods, except where the law requires a refund. Proration of add-on changes works as described above.
- One-time purchases. Anything you buy once — additional AI credits, for example — is charged when you buy it and isn’t refundable, except where the law requires.
- Taxes. Prices don’t include taxes. You’re responsible for applicable sales, use, GST/HST or similar taxes, which we collect where required.
- Price changes. We’ll give you at least 30 days’ notice by email before a price change applies to your subscription. If you don’t agree, you can cancel before it takes effect.
- Failed payments. If a payment fails, we’ll tell you and may pause paid features until it’s resolved.
Advertising spend
Your ad spend is billed by Google and Meta directly to the payment method in your own ad accounts. Medfy doesn’t charge for, mark up or take a percentage of your ad spend; an ads add-on is a flat monthly fee for managing your ads. You set your budgets and limits and are responsible for all charges in your ad accounts. Ad platforms apply their own rules to how budgets are spent, and their billing is between you and them.
Your responsibilities
You agree to:
- give us accurate information about your practice — providers, credentials, services, locations, hours, insurance and pricing — and correct it when it changes;
- connect only accounts, domains and websites you’re authorized to connect, and authorize us to act on them as these Terms describe;
- comply with the laws and professional rules that apply to you, including HIPAA and other privacy laws, advertising and consumer-protection laws, Google’s and Meta’s healthcare advertising policies, and the rules of your licensing board — for example, on testimonials, outcome claims and before-and-after images;
- obtain any consents you need from patients, such as for testimonials or for contacting them;
- put patient information only into the features built for it — website forms, the AI chat widget, the CRM and inbox, and appointments — and never into ad copy, content requests, support emails or other channels.
AI-generated content
Medfy uses AI to draft website pages, articles, ad copy, images and chat answers from your practice’s information and public sources. AI can be wrong, so medical content goes to you for review: you review and approve it before it’s published. If you turn on automatic publishing — for articles, or for ad changes within your guardrails — you choose to let content go live without individual review, and you remain responsible for it.
Medfy doesn’t provide medical advice. Content we produce is marketing and patient education, not a substitute for professional judgment. The AI chat widget answers questions about your practice; it isn’t for diagnosis or emergencies, and you’re responsible for how it’s presented to your patients.
No guarantee of results
We work to improve how patients find your practice, but we don’t guarantee search rankings, traffic, leads, new patients, mentions by AI assistants, ad approvals or ad performance. These depend on search engines, AI assistants, ad platforms and other factors outside our control.
Content and ownership
- Your content is yours. You own your practice’s content — text, images, logos and practice information — and the content we create for you, such as website copy, articles and ad creatives, subject to the rights of third parties in anything licensed (stock images or fonts, for example). Patient information belongs to your practice and is handled under the BAA.
- Your domain is yours. Your domain stays registered to you. To host your website we need its DNS to point to Medfy; you can point it elsewhere at any time.
- Your license to us. You give Medfy a non-exclusive, worldwide, royalty-free license to host, store, copy, adapt, display and otherwise process your content, only to provide and improve the Services for you.
- Our platform is ours. Medfy owns the platform: the software, designs, templates, workflows, documentation and trademarks, and everything we build to provide the Services, apart from your content. You may use them only through the Services while you’re a customer.
- Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
Acceptable use
You agree not to:
- publish unlawful, false or misleading content, including unsupported health claims;
- infringe anyone’s intellectual property, privacy or other rights;
- send spam or unsolicited messages through the Services;
- upload malware, or try to access other customers’ data or accounts;
- probe, scan or test the Services for vulnerabilities, except through responsible disclosure to us;
- reverse-engineer the Services, except where the law allows it;
- use the free audit or other features to collect data at scale, or to get around usage limits;
- resell the Services without our written permission;
- use the Services to break the policies of Google, Meta or other platforms you connect.
Third-party platforms
The Services work with platforms such as Google, Meta, Stripe, domain registrars and AI providers. Your use of those platforms is governed by their own terms. They can change their APIs and policies, disapprove ads, or restrict or suspend accounts. We’re not responsible for their actions, and features that rely on them may change or stop working as a result.
HIPAA and the Business Associate Agreement
When we create, receive, maintain or transmit protected health information for your practice, we do so as your business associate under our Business Associate Agreement (BAA). The BAA is part of your agreement with Medfy and governs PHI: if these Terms and the BAA conflict about PHI, the BAA controls. For practices in Canada, we handle personal health information as your service provider, under our agreement and the privacy laws that apply.
You remain responsible for your own obligations as a healthcare provider, such as your notice of privacy practices and any patient authorizations you need. Ask for a copy of the BAA at hello@medfy.ai, and read how we protect patient data on our HIPAA & security page.
Suspension, termination and leaving Medfy
You can cancel at any time, effective at the end of your billing period. We may suspend or end your access if you materially breach these Terms, don’t pay, put the Services or others at legal or security risk, or if the law requires it. Where it’s practical, we’ll give notice and a chance to fix the problem first.
When your subscription ends:
- Medfy stops hosting your website, and your paid features end.
- Your domain stays yours — point it to your new host whenever you like.
- You can ask us to export your content and data in a commonly used format.
- We then delete or de-identify your data as described in our Privacy Policy, and handle PHI as the BAA requires.
Sections that by their nature should survive — such as payment, ownership, disclaimers, limitation of liability and indemnification — survive the end of these Terms.
Disclaimers
To the fullest extent the law allows, the Services are provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don’t promise that the Services will be uninterrupted or error-free, or that AI-generated content will be accurate or complete.
Limitation of liability
To the fullest extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, patients, data or goodwill, even if it was told they were possible; and
- Medfy’s total liability for all claims relating to the Services is limited to the fees you paid Medfy for the Services in the 12 months before the event that gave rise to the claim.
These limits don’t apply where the law doesn’t allow them, and they don’t limit your obligation to pay fees you owe.
Indemnification
You’ll defend and indemnify Medfy against third-party claims, and the resulting losses and reasonable costs, that arise from your content, your ads, your communications with patients, your use of the Services in breach of these Terms or the law, or accounts you connect without authority.
Changes to the Services and these Terms
We may update these Terms. If a change is material, we’ll tell you by email or in the portal before it takes effect; price changes follow the 30-day notice above. If you keep using the Services after a change takes effect, the updated Terms apply. If you don’t agree, you can cancel before then.
Governing law and disputes
These Terms are governed by the laws that apply where Medfy is established, without regard to conflict-of-laws rules, unless the law of your state or province requires otherwise. Before starting any legal proceeding, you and Medfy agree to try to resolve the dispute informally for at least 30 days, starting with an email to hello@medfy.ai.
General
- Entire agreement. These Terms, the BAA, the plan details you accept when you subscribe and the policies they refer to are the whole agreement between you and Medfy about the Services.
- Assignment. You may not transfer these Terms without our consent, except as part of a merger or sale of your practice. We may transfer them to an affiliate or a successor.
- Severability and waiver. If a provision can’t be enforced, the rest stays in effect. Not enforcing a provision isn’t a waiver of it.
- Events beyond control. Neither party is responsible for delays caused by events beyond its reasonable control, such as outages of third-party platforms or networks.
- Relationship. We’re independent contractors; these Terms don’t create a partnership or employment relationship.
- Notices. We send notices to the email address of your account owner; send yours to hello@medfy.ai.
